1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "Family," or "you") and Beverly US LLC, a California limited liability company ("Beverly," "we," "us," or "our"). By accessing our website at beverly.io, purchasing a membership, activating a service plan, or otherwise using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our services. We encourage you to read these Terms carefully before engaging with Beverly.
You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using Beverly's services on behalf of a household, you represent that you have the authority to bind all members of the household to these Terms.
2. Description of Services
2.1 Beverly Is a Coordination Service
Beverly is an assistant coordination service that helps families navigate the childcare hiring process. We assign a dedicated coordinator who acts as your childcare assistant, managing agency outreach, candidate screening, interview scheduling, and placement support on your behalf.
Beverly is not a staffing agency, employment agency, nanny placement service, domestic referral agency, or recruitment firm under any applicable federal, state, or local law. Beverly does not recruit, employ, supply, or place caregivers. Beverly does not maintain a roster of available caregivers, does not match caregivers to families, and does not charge placement fees. Beverly coordinates the Family's own search across third-party agencies and referral networks selected by or in consultation with the Family. All placement decisions are made by the Family. Beverly's role is limited to administrative coordination and does not include the direct or indirect provision of caregivers.
2.2 Beverly Represents the Family
Your Beverly coordinator works exclusively on your behalf. Coordinators represent the family's interests throughout the search process, reaching out to nanny agencies and other childcare sources as your personal assistant. Beverly's loyalty is to the family we serve.
2.3 Service Availability
Beverly coordinators can work with clients and coordinate with agencies in all 50 United States. Service availability in a given market depends on coordinator capacity and may be subject to waitlist.
3. Agency Relationships and Family Responsibilities
3.1 Direct Contractual Relationship with Agencies
The Family owns the contractual relationship with every nanny agency engaged during a search. Beverly coordinates on the Family's behalf, but the Family is the direct counterparty in every agency relationship. Any engagement letters, registration agreements, or service contracts with agencies are between the Family and the agency. Beverly is not a party to these agreements.
Beverly coordinators who work with the Family represent the Family and use commercially reasonable efforts to act consistently with the terms of the Family's agency agreements when coordinating on the Family's behalf. However, Beverly does not independently verify, interpret, or guarantee compliance with all terms and conditions of every agency agreement. The Family remains the direct counterparty and is ultimately responsible for understanding and ensuring compliance with its own agency agreements. Beverly shall not be liable for any breach of an agency agreement unless such breach results directly from a coordinator's willful misconduct or gross negligence.
3.2 Registration and Placement Fees
The Family is responsible for all registration fees and placement fees incurred during any search. Most nanny agencies charge a registration fee (typically $300 to $500) and a placement fee upon successful hire (typically 15% to 20% of first-year salary).
Beverly's service plans may allocate a portion of plan pricing specifically to streamline account openings and agency registrations on the Family's behalf. The specific coverage amounts are described in the applicable plan terms at the time of purchase. Any agency fees beyond those covered by Beverly's plan are the sole responsibility of the Family.
3.3 Family Representations
By engaging Beverly's services, the Family represents and warrants that: (a) all information provided to Beverly and its coordinators is accurate, complete, and not misleading; (b) the Family will promptly notify Beverly of any material changes to the information previously provided; (c) the Family has the legal authority to employ household workers and to enter into agency agreements; and (d) the Family will comply with all applicable federal, state, and local laws governing household employment, including wage and hour laws, tax withholding requirements, and workers' compensation obligations.
3.4 Candidate Confidentiality Across Families
Beverly coordinators are strictly prohibited from introducing or sharing any caregiver candidate submitted by an agency to any family other than the family with which that agency has an existing and current contractual relationship. Each agency relationship is treated as exclusive to the Family that holds it. Coordinators may not cross-reference, recommend, or otherwise make available agency-sourced candidates across different Beverly client families. This policy ensures that agencies can confidently share their candidate rosters with Beverly-coordinated families without risk of their candidates being redirected to other families outside the scope of their agreement.
3.5 Caregiver Compensation
The Family is fully responsible for all wages, salaries, benefits, taxes, and fees charged by or owed to any caregivers hired through the search process. This includes all federal, state, and local employment taxes, workers' compensation insurance, and any other obligations arising from the employer-employee relationship between the Family and the caregiver. Beverly does not employ, pay, or assume any financial responsibility for caregivers.
4. Memberships, Plans, and Pricing
4.1 Membership
Access to Beverly's services begins with a Lifetime Membership. The membership provides access to a dedicated coordinator, essential tools, and resources as described at the time of purchase. The membership is a one-time fee and does not expire. Beverly can update the benefits provided to the Family as part of their Lifetime Membership at any point without prior notice.
4.2 Service Plans
Active search coordination requires the purchase of a service plan (e.g., Managed or Comprehensive). Plan details, deliverables, and coverage levels are described on our website and in the plan materials provided at the time of purchase.
4.3 Pricing Changes
Beverly reserves the right to change its pricing at any time. Any pricing changes will apply to new purchases made after the change takes effect. Pricing changes will not retroactively affect memberships or plans already purchased and in effect at the time of the change.
4.4 Refund Policy
All membership fees, plan fees, and add-on fees are non-refundable once services have commenced. By purchasing a membership, plan, or add-on, you acknowledge and agree that these fees are earned upon purchase and will not be refunded, in whole or in part, for any reason, including but not limited to early termination by the Family, dissatisfaction, or failure to use the services within the plan window.
In the event that Beverly terminates your access to services without cause pursuant to Section 12, Beverly will provide a pro-rata refund of any unused portion of the current service plan fee (but not the membership fee), calculated from the date of termination through the end of the plan period. This pro-rata refund is the Family's sole and exclusive remedy for a termination without cause by Beverly.
4.5 Payment
All payments are processed through our third-party payment processor. By providing payment information, you represent that you are authorized to use the payment method and authorize Beverly to charge all applicable fees.
5. Templates, Guidance, and Educational Resources
Beverly may provide helpful templates, guides, sample documents, and general guidance to assist the Family in drafting their own employment contracts, household manuals, onboarding materials, and other documents governing the relationship between the Family and their caregivers.
These materials are provided for informational and convenience purposes only and do not constitute legal, tax, or employment advice. Beverly is not responsible or liable for any outcomes, disputes, claims, losses, or conflicts arising from the use of these templates or from any employment contracts or arrangements between the Family and their caregivers. The Family is solely responsible for reviewing, customizing, and ensuring the legal adequacy of any documents used in their employment relationships. We recommend consulting with a qualified attorney for legal advice specific to your situation.
5.1 No Professional Advice
Nothing in Beverly's services, communications, materials, website content, blog articles, or any statements by Beverly's coordinators or employees constitutes legal advice, tax advice, employment law advice, financial advice, or any other form of professional advice. Beverly coordinators may share general information, market observations, and practical guidance based on their experience, but this information is not a substitute for professional counsel. The Family is solely responsible for obtaining qualified legal, tax, and financial advice as needed. Beverly is not a law firm, accounting firm, or licensed professional advisory service.
5.2 Confidentiality
Beverly treats information provided by the Family as confidential and will use commercially reasonable efforts to prevent unauthorized disclosure. Beverly may share your information with third parties as described in these Terms, our Privacy Policy, as authorized by the Family, or as reasonably necessary to provide the services. This confidentiality obligation does not apply to information that: (a) is or becomes publicly available through no fault of Beverly; (b) is independently developed by Beverly without reference to the Family's information; or (c) is required to be disclosed by law, regulation, or legal process. Beverly's coordinators are contractually bound to maintain the confidentiality of client information.
5.3 Call and Video Recording
Beverly may record telephone calls and video calls between you and your coordinator for quality assurance, training, and record-keeping purposes. By engaging Beverly's services and participating in calls with your coordinator, you consent to the recording of those calls. If you do not wish to be recorded, you may notify your coordinator at the beginning of any call, and the recording will be disabled for that session. Recordings are retained in accordance with our Privacy Policy.
6. Third-Party Services
6.1 Third-Party Partnerships
Beverly partners with third-party providers to deliver certain services to the Family, including but not limited to background check services, reference verification, and payroll services (such as Poppins Payroll). These services are subject to the third-party provider's own terms of service and privacy policies.
6.2 Agency-Provided Alternatives
In cases where an agency engaged during your search already provides one or more of these services (such as background checks) and there is substantial overlap with Beverly's offering, Beverly may recommend that the Family use the agency's services in lieu of Beverly's own third-party provider. This recommendation is made at Beverly's discretion and is intended to avoid unnecessary duplication of services.
6.3 No Liability for Third Parties
Beverly is not responsible for the acts, omissions, accuracy, reliability, or quality of any third-party services, whether provided through Beverly's partnerships or through agencies engaged during your search. Your use of third-party services is at your own risk and subject to the applicable third-party terms.
7. Intellectual Property
All content on the Beverly website, including text, graphics, logos, templates, guides, frameworks, and other materials, is the property of Beverly US LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Beverly's materials without our prior written consent.
Templates and documents provided to you as part of your membership or plan are licensed for your personal, non-commercial use in connection with your household employment relationships only.
8. Disclaimer of Warranties and Limitation of Liability
8.1 Disclaimer of Warranties
Beverly provides its services on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by applicable law, Beverly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Beverly does not warrant that its services will meet your expectations, that any particular search outcome will be achieved, or that the services will be uninterrupted, timely, or error-free.
8.2 Limitation of Liability
To the fullest extent permitted by applicable law:
- Beverly's total aggregate liability to you for any and all claims arising out of or relating to these Terms or the services shall not exceed the total amount of fees you have paid to Beverly in the 12 months preceding the claim.
- Beverly shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of income, loss of business opportunities, damages arising from the conduct of caregivers, damages arising from the Family's employment relationships, or damages arising from any agency engagement.
- Beverly does not guarantee any particular outcome from the search process, including but not limited to the quality, suitability, reliability, or longevity of any caregiver placement.
Beverly provides coordination services in good faith and with professional care, but the inherently personal nature of childcare hiring means that outcomes depend on many factors beyond Beverly's control.
9. Service Interruptions and Force Majeure
Beverly shall not be liable for any delay or failure in the performance of its obligations under these Terms resulting from causes beyond Beverly's reasonable control, including but not limited to: acts of God, pandemic, epidemic, natural disaster, government orders or restrictions, labor shortages, technology failures, third-party platform outages, internet disruptions, nanny agency closures or policy changes, or any other event outside Beverly's reasonable control ("Force Majeure Event"). During a Force Majeure Event, Beverly's obligations are suspended for the duration of the event. Beverly will use commercially reasonable efforts to resume services as soon as practicable. A Force Majeure Event does not entitle the Family to any refund or credit.
10. Indemnification
You agree to indemnify, defend, and hold harmless Beverly US LLC, its officers, members, employees, coordinators, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your employment or contractual relationship with any caregiver, including any claims by caregivers alleging Beverly is a joint employer, co-employer, or is otherwise liable for the terms and conditions of their employment
- Your contractual relationship with any nanny agency, including any claims by an agency arising from the Family's breach of an agency agreement
- Any failure by you to comply with applicable employment, tax, labor, or insurance laws in connection with caregivers hired through the search process
- Your use of templates, guides, or other materials provided by Beverly
- Your violation of these Terms
- Any claim by a third party arising from your use of Beverly's services
- Any misrepresentation by you regarding your identity, authority, or eligibility to use Beverly's services
11. Dispute Resolution
11.1 Informal Resolution (Required First Step)
Before initiating arbitration, you agree to first contact Beverly at info@beverly.io and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved through direct communication with our team. No arbitration demand may be filed until this informal resolution period has elapsed.
11.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the services, including the validity, interpretation, breach, or termination thereof, that is not resolved through the informal resolution process in Section 11.1, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator. The arbitration hearing may take place in Austin, Texas, or, at the election of the Family, in the county of the Family's primary residence at the time the dispute arises, or remotely via video conference. Beverly shall pay all AAA filing fees and arbitrator compensation to the extent required by the AAA Consumer Arbitration Rules.
11.3 Waiver of Class Action
You agree that any arbitration or legal proceeding shall be conducted on an individual basis only. You waive any right to participate in a class action, class arbitration, or any other representative proceeding. If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void.
11.4 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. Notwithstanding the foregoing, nothing in this section shall be construed to deprive any consumer of the protections afforded by the mandatory consumer protection laws of their state of residence.
11.5 Small Claims Exception
Notwithstanding the foregoing, either party may bring an individual action in small claims court in the county of the Family's primary residence or in Austin, Texas, provided the claim falls within the jurisdictional limits of that court.
12. Termination
Beverly may suspend or terminate your access to the services for cause, including breach of these Terms, fraud, or abusive conduct toward coordinators or agency partners. Beverly may also terminate your access without cause upon 14 days' written notice. Upon termination, your right to use the services ceases immediately. In the event of termination without cause by Beverly, the refund provisions of Section 4.4 shall apply. Sections that by their nature should survive termination (including Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Intellectual Property) shall survive.
You may discontinue using Beverly's services at any time by notifying us at info@beverly.io. Voluntary discontinuation by the Family does not entitle you to any refund of fees already paid.
13. Modifications to Terms
Beverly reserves the right to update or modify these Terms at any time. If we make material changes, we will notify you by posting a prominent notice on our website at least 15 days before the changes take effect. Where practicable, we may also notify you by email at the address associated with your account. Your continued use of the services after the effective date of such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should discontinue use of the services before the effective date.
14. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Beverly with respect to the services.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver. Beverly's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment. You may not assign your rights or obligations under these Terms without Beverly's prior written consent. Beverly may assign its rights and obligations without restriction.
- Notices. Any notices to Beverly should be sent to info@beverly.io.

16. Legacy Services Transition
16.1 Prior Service Model
Prior to March 4, 2026, Beverly may have provided certain services to a limited number of clients under prior agreements that included features characteristic of an agency or placement model, including but not limited to maintaining a roster of available caregivers and charging placement fees ("Legacy Services"). Effective as of March 4, 2026, Beverly has discontinued all Legacy Services. Beverly will no longer maintain a roster of caregivers, will not place caregivers, and will not charge placement fees in any new client engagement.
16.2 Termination of Prior Agreements
All prior agreements, engagement letters, service contracts, and other arrangements between Beverly and any client governing Legacy Services ("Prior Agreements") shall terminate no later than April 1, 2026 (the "Transition Date"). Upon the Transition Date, all Prior Agreements are deemed fully terminated and superseded by these Terms. Any client who continues to use Beverly's services on or after the Transition Date does so exclusively under these Terms.
16.3 No Ongoing Agency Obligations
From and after the Transition Date, Beverly has no obligation to provide any Legacy Services, including but not limited to maintaining a caregiver roster, sourcing or placing caregivers directly, or providing any services characteristic of a staffing agency, employment agency, or placement service. Any representations, warranties, or commitments made under Prior Agreements are extinguished as of the Transition Date, except to the extent any fees or payments were accrued and remain unpaid as of the Transition Date.
16.4 Release and Limitation of Claims
By continuing to use Beverly's services on or after the Transition Date, you acknowledge the termination of any Prior Agreement, accept these Terms as the sole agreement governing your relationship with Beverly, and release Beverly US LLC, its officers, members, employees, coordinators, and agents from any and all claims, liabilities, damages, and causes of action arising out of or relating to any Legacy Services or Prior Agreement. This release does not apply to claims for fees that were accrued and unpaid as of the Transition Date. For the avoidance of doubt, the limitation of liability set forth in Section 8, the indemnification obligations set forth in Section 10, and the dispute resolution provisions set forth in Section 11 of these Terms apply to any claims relating to Legacy Services or Prior Agreements.
16.5 Transition Disputes
Any disputes arising from or relating to the transition from Legacy Services to Beverly's current coordination model, including disputes regarding the termination of Prior Agreements, shall be resolved in accordance with the dispute resolution procedures set forth in Section 11 of these Terms.
